S&T Bancorp Inc. announced it will bring two additional board members from Integrity Bancshares Inc. onto its board.
The Indiana, Pa.-based bank holding company for S&T Bank, which has an agreement in place to acquire Integrity for $155 million, said Integrity board members Jerry Hostetter and Steve Weingarten will be invited to join the board when the merger goes through.
Hostetter, 53, has been on Integrity’s board since 2011 and is a partner at Prestige Investment Group LLC since its founding in 2012. He also is a former vice president of fund development and legislative affairs at Ephrata Community Hospital.
Weingarten, 56, is an attorney at Harrisburg-based law firm McNees Wallace and Nurick LLC and has been at the firm since 1989. He has been on the Integrity board since 2003.
At the time of the merger announcement, S&T announced it would invite Integrity’s president and CEO, Jim Gibson, to sit on its board.
The two sides expect the merger to be completed by the end of March.
Shares of Integrity trade on the OTC market under the ticker symbol ITBC. S&T stock trades on the NASDAQ market under the symbol STBA.
